Terms And Conditions

MilconDev Proprietary License Agreement

1. Definitions:

 

* “Software” shall mean the Ctrlpanel Admin Bot, including its source code, object code, documentation, updates, and any related materials provided by [Your Company/Your Name].

* “Licensee” shall mean the individual or entity granted a license to use the Software under the terms of this Agreement.

* “Licensor” shall mean [Your Company/Your Name], the owner and licensor of the Software.

* “Use” shall mean the operation of the Software for its intended purpose as provided by the Licensor.

 

2. Grant of License:

 

* Subject to the terms and conditions of this Agreement, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, and revocable license to Use the Software solely for [Specify the permitted use – e.g., personal use on their own Discord server].

* No other rights are granted to the Licensee, express or implied.

 

3. Restrictions on Use:

 

* No Sharing or Distribution: The Licensee is strictly prohibited from sharing, distributing, making available, or otherwise providing access to the Software, or any part thereof, to any third party, whether for free or for consideration. This includes, but is not limited to, uploading, posting, emailing, or transmitting the Software through any means.

* No Modification or Derivative Works: The Licensee is strictly prohibited from modifying, altering, adapting, translating, reverse engineering, decompiling, disassembling, or creating derivative works based on the Software, or any part thereof.

* No Resale or Commercial Use (if applicable): The Licensee is prohibited from reselling, sublicensing, leasing, renting, or otherwise commercially exploiting the Software, unless explicitly authorized in a separate written agreement with the Licensor.

* No Circumvention of Security Measures: The Licensee shall not attempt to circumvent, disable, or defeat any security features or technical limitations in the Software.

 

4. Ownership:

 

* The Software is and shall remain the sole and exclusive property of the Licensor. The Licensee acknowledges that this Agreement grants only a limited right to Use the Software and does not transfer any ownership rights, title, or interest in or to the Software.

* All intellectual property rights in and to the Software, including copyrights, trademarks, trade secrets, and any other proprietary rights, are owned by the Licensor.

 

5. Copyright Notice:

 

* The Licensee shall not remove, alter, or obscure any copyright notices, trademarks, or other proprietary notices displayed on or within the Software.

 

6. Termination:

 

* This Agreement may be terminated by the Licensor immediately upon the Licensee’s breach of any term or condition herein.

* Upon termination, the Licensee shall cease all Use of the Software and shall destroy all copies of the Software in their possession or control.

 

7. Disclaimer of Warranty:

 

* THE SOFTWARE IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

 

8. Limitation of Liability:

 

* TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

9. Governing Law and Jurisdiction:

 

* This Agreement shall be governed by and construed in accordance with the laws of [Specify your state/country].

10. Entire Agreement:
