Terms of service

Last updated: 21 October 2026

1. Scope and operator

1.1 These Terms of Service ("Terms") apply to the use of the marketplace at market.ctrlpanel.gg (the "Marketplace") and to all purchases and sales made through it.

1.2 The Marketplace is operated by Ctrlpanel OSS Software, e-mail info@ctrlpanel.gg ("we", "us", "the operator"). It is the official marketplace of the open-source project CtrlPanel.

1.3 "Buyers" are users who obtain products on the Marketplace. "Vendors" are users who offer products in their own store. A user can be both.

1.4 Deviating terms of users do not apply.

2. Role of the Marketplace

2.1 On the Marketplace, vendors offer digital products, for example addons, themes and integrations for CtrlPanel.

2.2 The contract for a product is concluded between the buyer and the vendor. We conclude it in the name and on behalf of the vendor, collect the price for the vendor and provide the download. Payment to us discharges the buyer's payment obligation towards the vendor.

2.3 We are not a party to the contract for the product. The fact that the vendor uses us for payment and delivery does not give buyers contractual claims against us in respect of the product itself.

2.4 Private sellers. All vendors have declared to us that they sell as private persons and not as a business. The special rules for contracts between businesses and consumers, in particular the statutory right of withdrawal for distance contracts, therefore do not apply to purchases on the Marketplace. Every product page, every store page and the checkout show that the seller is a private seller.

3. User account

3.1 Buying and selling require a user account. You sign in exclusively with your Discord account, so you need a Discord account and Discord's terms apply to it.

3.2 You must be at least 16 years old to create an account. Users under 18 need the consent of their legal guardians to buy or sell.

3.3 You are responsible for activities in your account and must keep access to your Discord account secure.

3.4 If you had an account in the previous shop at market.ctrlpanel.gg, your account, your orders, your download access and, as a vendor, your balance were carried over. The old account is linked to your Discord account automatically on your first sign-in if your verified Discord e-mail address matches the e-mail address of the old account.

3.5 You can delete your account at any time under "Your data" in the account menu. Deletion is not possible while a balance, a payout or a payment dispute is open. When an account is deleted, its store is closed and its products are no longer offered; buyers keep their downloads. You lose access to your purchases. Data we have to keep by law is kept, without a link to your name, until the end of the retention period.

4. Products and licence

4.1 Vendors are responsible for their products, including descriptions, prices, compatibility statements and files. Some products are downloaded from external servers chosen by the vendor.

4.2 The presentation of products on the Marketplace is not a binding offer.

4.3 Unless the vendor states other licence terms on the product page, the buyer receives a simple, non-exclusive and non-transferable right to use the product for their own installations. Redistribution, resale and publication are not allowed.

4.4 Users who own a product can review it once. Reviews must be honest, refer to the product and must not contain insults, advertising, links or personal data of others. We check every review before it is published and may reject or remove reviews that break these rules; the author is told the reason. Vendors cannot review their own products and may publish one answer per review. A review is marked "Verified purchase" if its author paid for the product and the order was not refunded; reviews of free products and of products obtained with a 100 % voucher or from us as a grant can be published but carry no such mark.

5. Ordering and conclusion of the contract

5.1 Buyers add products to the cart, review the order at checkout, confirm the note about private sellers and immediate access, and click "Pay with PayPal". They are then redirected to PayPal to approve the payment. Free products (price €0.00) are not added to the cart: buyers click "Get it for free" on the product page and the product is unlocked right away. If the total of the cart is €0.00, for example because of a voucher, the checkout button reads "Get it for free" and no payment is made.

5.2 By clicking one of these buttons, the buyer makes a binding offer to the vendor of each product in the cart. The contract is concluded when the payment has been completed and the product has been unlocked in the buyer's downloads; for free products, when the product has been unlocked. If the cart contains products of several vendors, a separate contract is concluded with each vendor, paid with one payment.

5.3 Before ordering, buyers can review their cart and remove products.

5.4 We store the order details. Buyers can view them at any time in their account under "Orders" and receive them in the order confirmation e-mail. These Terms are available at any time at market.ctrlpanel.gg/legal/terms.

5.5 The contract language is English.

6. Prices and payment

6.1 All prices are final prices in euros. No VAT is charged (small business rule under § 19 UStG).

6.2 Payment is made exclusively via PayPal. PayPal's terms apply to the payment. The Marketplace charges buyers no additional fees.

6.3 Orders that are not paid within 24 hours are cancelled automatically.

6.4 Vendors can issue vouchers for their own products. A voucher gives the percentage discount stated in it on the current price of the products it covers, can be redeemed once per account and only together with one order, and cannot be combined with other vouchers or exchanged for cash. Vouchers that a vendor has issued to specific accounts can only be redeemed by those accounts. The vendor may limit the number of redemptions and the period of validity, and may withdraw a voucher at any time; orders already placed are not affected. If an order is refunded, the voucher is not reissued.

7. Delivery and downloads

7.1 After the payment has been confirmed, the product is available right away under "My downloads". If PayPal reports a payment as pending, the product is unlocked automatically as soon as PayPal confirms it.

7.2 For security reasons, a new download link is created for each download and expires after a few minutes. Buyers can create new links at any time.

7.3 Purchased products remain available for download for as long as the buyer's account exists, even if the vendor stops selling them. This does not apply if a product has to be removed for legal reasons or because it violates section 9.3, or if the payment was refunded or charged back.

7.4 We recommend that buyers keep their own copy of purchased files.

8. No right of withdrawal, refunds

8.1 Because all vendors are private sellers, there is no statutory right of withdrawal. We do not offer a voluntary right of return or refund.

8.2 Statutory rights in the case of defects remain unaffected. They are directed against the vendor. Buyers can contact our support (section 13); we pass questions about a product on to the vendor.

8.3 If a payment is refunded or charged back, access to the products concerned ends.

9. Terms for vendors

9.1 Opening a store. Every user who meets the requirements of section 3.2 can open a store under "Become a vendor". The store is active right away. When opening the store, the vendor declares that they sell as a private person and not as a business. Businesses cannot sell on the Marketplace. If this changes, the vendor must stop selling and inform us without delay. The vendor is responsible for the accuracy of this declaration.

9.2 Authority. The vendor authorises us to conclude contracts with buyers in the vendor's name at the prices set by the vendor, to collect the price, to deliver the products and to process refunds and chargebacks for the vendor.

9.3 Product requirements. Products must not:

  • contain malware or any code that intentionally damages, disables or spies on systems or data;
  • contain obfuscated or encrypted source code;
  • violate the law or the rights of third parties, in particular copyrights and trademarks.

The vendor must hold all rights needed to sell the product. Descriptions must be accurate. The vendor states which CtrlPanel releases the product works with; this statement must be based on the vendor's own tests and be confirmed again for every update and kept up to date when new CtrlPanel releases appear.

9.4 Review and removal. New products may have to be reviewed by us before they are published. Every uploaded file is also checked automatically for suspicious content, for example code that runs commands taken from requests, obfuscated code, scripts that download and run other scripts, or programs. Files without findings are available to buyers at once. Files with findings, files whose content cannot be inspected (password-protected archives, 7z and RAR archives, encoded code) and external download links are only delivered after we have reviewed them. Archives that would write files outside their folder when unpacked are blocked automatically. We may reject, unpublish or remove products and files and suspend stores that violate these Terms or the law. We inform the vendor of every held, blocked or rejected file and of every other decision, with the reasons; the vendor can object by e-mail, and a person then reviews the decision again.

9.5 Rights granted to us. The vendor grants us the non-exclusive right to store, display (including images and descriptions) and deliver their products to buyers for the purposes of the Marketplace. For products that have already been sold, this right continues after the vendor stops selling or closes the store, so that buyers can keep downloading them.

9.6 Commission. For every order we keep a commission of 8 % plus €0.35 of the vendor's share of that order (the total the buyer pays for the vendor's products in the order, after any voucher of the vendor), but never more than the share itself. If a voucher of the vendor reduces the share to €0.00, no commission is charged and no credit is added. Example: a share of €10.00 results in a commission of €1.15 and a credit of €8.85. Individual rates can be agreed. Changed rates only apply to orders placed after the change. We bear the PayPal fees for buyers' payments.

9.7 Balance. The vendor's credit (share minus commission) is added to the vendor's balance once the payment is confirmed. It becomes available for payout 14 days after the payment (holding period). For new vendors the holding period is 30 days, until the vendor has had 5 paid sales whose holding period ended without a refund or chargeback; a longer period that already started is not shortened. While a payment is disputed, the credit of that sale stays held until the dispute is settled, even if the holding period has already ended; credit that was already withdrawn is offset against the balance, which can become negative. The credit is released again if the dispute ends in the vendor's favour or the buyer withdraws it. The balance is an amount we owe the vendor; it does not earn interest. If a payment is refunded or charged back, the credit is reversed and the commission is returned. The balance can become negative as a result; a negative balance is offset against future credits.

9.8 Payouts. The vendor can request a payout of the available balance from €6.00 to the PayPal address stored in the store settings. Only one request can be open at a time. In the first 30 days after a store was opened, one payout request can be at most €50.00; this does not apply to stores taken over from the old shop. After the PayPal address in the store settings was changed, no new payout request is possible for 72 hours; we tell the account owner about the change by e-mail and Discord message. A payout request needs two-factor authentication on the Discord account used for sign-in. We review and approve payout requests. For each payout we keep a payout fee of 8 % of the payout amount plus €0.35; in addition, the fee PayPal actually charges for the transfer is deducted. Example: for a payout of €20.00 the payout fee is €1.95; if PayPal charges no fee, €18.05 is paid out. We may reject a request, for example if a refund or chargeback is pending or fraud is suspected; the amount then stays in the balance. No payouts are possible while the balance is negative.

9.9 Taxes. Vendors are responsible for their own tax obligations.

9.10 Ending the store. Vendors can unpublish their products at any time. To close the store, they contact us; the remaining balance is paid out after deducting open claims, for example pending refunds. We may end the cooperation with a vendor with reasonable notice, or with immediate effect for an important reason such as a serious violation of these Terms.

10. Ranking of products

By default, products are listed with the most recently published first. Buyers can instead sort by popularity (number of sales) or by price, and filter by category, label, price, store and CtrlPanel version (as stated by the vendor). The search covers the title, short description and description. Vendors cannot pay for a better position, and the commission does not influence the order.

11. Reporting illegal content

11.1 Anyone can report content on the Marketplace that they consider illegal or in violation of these Terms, by e-mail to info@ctrlpanel.gg or via the CtrlPanel Discord server. Please include the link to the content, an explanation of why it is illegal, your name and e-mail address, and a statement that the report is accurate and complete to the best of your knowledge.

11.2 We review reports carefully. Decisions on reports are made by people. In addition, uploaded files are checked automatically before they are delivered (section 9.4); the automatic check only holds files back or blocks them, and every held file is reviewed by a person. Possible measures are removing or disabling content, unpublishing products and suspending stores or accounts. We inform affected users of the measure and the reasons, and they can object to it by e-mail; we will then review the decision again.

11.3 Our point of contact for users and authorities is info@ctrlpanel.gg. We communicate in English and German.

12. Availability and liability

12.1 We aim to keep the Marketplace available, but cannot guarantee uninterrupted availability, for example during maintenance.

12.2 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and under any guarantee we have given. For slight negligence we are only liable for breaches of obligations whose fulfilment is essential for the proper performance of the contract and on which users may rely; in that case our liability is limited to the typical, foreseeable damage. Otherwise our liability is excluded. These limitations also apply in favour of our vicarious agents.

12.3 We are not liable for the products of vendors (see section 2.3).

13. Support and contact

13.1 Questions about a product go to its vendor: buyers use "Contact the vendor" in their downloads or on the order page. Vendors answer these conversations within a reasonable time. Our team can read the conversations and join them, for example to settle a dispute.

13.2 Buyers and vendors reach our support via the CtrlPanel Discord server or by e-mail to info@ctrlpanel.gg.

14. Changes to these Terms

We may change these Terms for the future for a valid reason, for example changes in the law or new functions of the Marketplace. We announce changes at least 15 days before they take effect on the CtrlPanel Discord server and inform vendors by e-mail. Purchases are subject to the Terms in force at the time of the order. Users who do not agree with a change can stop using the Marketplace and close their account or store.

15. Consumer dispute resolution

We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).

16. Final provisions

16.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of the mandatory provisions of the law of the country in which they have their habitual residence.

16.2 If the user is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes is the operator's place of business.

16.3 Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected.
